• This Agreement may be cancelled or terminated at any time by either party giving the other Party notice with legitimate reason.

• If any applicable law or regulation is enacted or changed in a way that makes it impossible or financially not feasible for us to continue providing the services, we may immediately terminate the Agreement by giving notice.

• This Agreement may also be cancelled or terminated by giving the other Party notice with immediate effect if:

1. Any of the party is declared bankrupt or insolvent and ceases its operation as determined with finality by a court of competent jurisdiction. In this case, termination might be without compensation, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to the other party and its stakeholders.

2. The other Party has breached the Agreement in a manner that is substantial and (if such breach can be remedied) does not rectify the breach within 07 working days of receiving a written notification from the Party.

3. If client sends any SMS that does not follow the guidelines set forth by A2P, Just SMS, and BTRC.

4. If client does any violation of any legal and regulatory requirement of the land or sends any unauthorized SMS or internationally originated or web based SMS or violates the law of the land or gives false information and/or changes the given information.

5. If any data submitted in order to use the SMS service turns out to be inaccurate or fraudulent.

6. If social unrest is created from sending anti-state and religiously provocative texts.

7. If client sends SMS on behalf of an organization that is not registered in Bangladesh or does not have authorization to operate here.

8. When sending SMS, the client sends SMS related to any brand or organization, and not the one that was hired to provide the service, without mentioning the name or identity of the receiving organization.

9. In case of a political candidate in Bangladesh's national or local elections, if client sends SMS requesting votes and mentioning a specific party or parties.

10. In case of Force Majeure where an event or situation is beyond control and not foreseeable, is unavoidable, and its origins not due to negligence or lack of care; such events may include, but not be limited to, acts of the Government in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions, and freight embargoes or more as may arise;

Upon cancellation or termination of the Agreement:

1. Under these terms, all rights will expire immediately.

2. The relevant services will be immediately ceased.

3. All amounts due between both parties related to the Agreement shall be immediately cleared.

4. All unused credit on client’s account will become disabled, with the exception of any money we receive from client within 07 working days prior to termination.

• যে কোনো পক্ষ অপর পক্ষকে বৈধ কারণ সহ নোটিশ প্রদান করে এই চুক্তিটি যে কোনো সময় বাতিল করতে পারে ।

• যদি কোনো প্রযোজ্য আইন বা বিধান এমনভাবে প্রণীত বা পরিবর্তিত হয় যা আমাদের জন্য সেবা প্রদান চালিয়ে যাওয়াকে অসম্ভব বা আর্থিকভাবে অযৌক্তিক করে, আমরা নোটিশ দিয়ে অবিলম্বে চুক্তিটি বাতিল করতে পারি।

• এই চুক্তিটি অপর পক্ষকে অবিলম্বে নোটিশ দেওয়ার মাধ্যমে বাতিল করতে পারে যদি:

১। উভয় পক্ষের যে কোন কাউকে দেউলিয়া ঘোষণা করা হলে এবং উপযুক্ত আদালত দ্বারা চূড়ান্তভাবে তার কার্যক্রম বন্ধ করা হলে। এই ক্ষেত্রে শর্ত হল, ক্ষতিপূরণ ব্যতীত, এই ধরনের সমাপ্তি অন্য পক্ষ এবং এর স্টেকহোল্ডারদের অধিকারকে বঞ্চিত করবে না ।

২। অন্য পক্ষ এমনভাবে চুক্তি লঙ্ঘন করেছে যা গুরুতর এবং অপর পক্ষ থেকে একটি লিখিত বিজ্ঞপ্তি পাওয়ার ০৭ কার্যদিবসের মধ্যে লঙ্ঘনটি সংশোধন না করে (যদি এই ধরনের লঙ্ঘনের প্রতিকার করা যায়)।

৩। যদি ক্লায়েন্ট এমন কোনো এসএমএস পাঠায় যা এটুপি, জাস্ট এসএমএস এবং বিটিআরসি দ্বারা নির্ধারিত নির্দেশিকা অনুসরণ করে না।

৪। যদি ক্লায়েন্ট কোনো আইনগত এবং নিয়ন্ত্রক প্রয়োজনীয়তা লঙ্ঘন করে বা কোনো অননুমোদিত এসএমএস বা আন্তর্জাতিকভাবে উদ্ভূত বা ওয়েব ভিত্তিক এসএমএস পাঠায় বা দেশের আইন লঙ্ঘন করে বা মিথ্যা তথ্য দেয় এবং/অথবা প্রদত্ত তথ্য পরিবর্তন করে।

৫। যদি এসএমএস ব্যবহার করার জন্য জমা দেওয়া কোনও তথ্য ভুল বা প্রতারণামূলক বলে প্রমাণিত হয়।

৬। যদি সামাজিক অস্থিরতা সৃষ্টির উদ্দেশে রাষ্ট্রবিরোধী ও ধর্মীয় উসকানিমূলক লেখা পাঠানো হয়।

৭। যদি ক্লায়েন্ট বাংলাদেশে নিবন্ধিত নয় বা এখানে কাজ করার অনুমোদন নেই এমন একটি সংস্থার পক্ষ থেকে এসএমএস পাঠায়।

৮। এসএমএস পাঠানোর সময় অনুমোদন না নিয়ে ক্লায়েন্ট অন্য কোন ব্র্যান্ড বা সংস্থা জড়িত এসএমএস পাঠালে৷

৯। রাজনৈতিক প্রার্থীর ক্ষেত্রে, বাংলাদেশের জাতীয় বা স্থানীয় নির্বাচন ভোটের অনুরোধ করলে এবং একটি নির্দিষ্ট দল উল্লেখ করে এসএমএস পাঠালে৷

১০। নিয়ন্ত্রণের বাইরে এমন কোন ঘটনা বা পরিস্থিতি হলে এবং যেটি অপরিকল্পিত নয় এবং অনিবার্য; যেমন সরকারের সার্বভৌম ক্ষমতা, যুদ্ধ বা বিপ্লব, অগ্নিকাণ্ড, বন্যা, মহামারি, কোয়ারেন্টাইন বিধিনিষেধ এবং মালবাহী নিষেধাজ্ঞা বা আরও অনেক কিছু অন্তর্ভুক্ত থাকতে পারে।

চুক্তি বাতিল বা সমাপ্তি হলেঃ

১। এই শর্তাবলির অধীনে, সমস্ত অধিকার অবিলম্বে শেষ হয়ে যাবে৷

২। প্রাসঙ্গিক সেবা অবিলম্বে বন্ধ করা হবে৷

৩। উভয় পক্ষের মধ্যে চুক্তি সম্পর্কিত সমস্ত বকেয়া পরিমাণ অবিলম্বে নিষ্পত্তি করা হবে৷

৪। চুক্তি বাতিল এর পূর্বে ০৭ কার্যদিবসের মধ্যে আপনার কাছ থেকে প্রাপ্ত কোনো অর্থ ব্যতীত আপনার অ্যাকাউন্টের সমস্ত অব্যবহৃত ক্রেডিট অকার্যকর হয়ে যাবে।
